Following the last round of amendments that came into effect on 1 January 2022, on 14 June 2024, Exchange published the ‘Review on Corporate Governance Code and Related Listing Rules’ (Paper) outlining its latest proposed amendments to the Corporate Governance Code (Code) and related listing rules. The proposals include major changes (rule/code provision (CP)/mandatory disclosure requirement (MDR)) in:
- Elevating board effectiveness
- Strengthening independence (INEDs)
- Further promotion of board and workforce diversity
- Enhancing risk management and internal control
- Other amendments to listing rules
The consultation period will end on 16 August 2024. The effective implementation date of the above proposals is proposed to be 1 January 2025, with a transition period of three years in certain proposals (ie requirements will apply starting from 1 January 2028). Considering the above proposals may come into effect as early as 1 January 2025, issuers should start making preparations as soon as practicable to satisfy the possible upcoming requirements.
In addition with a brief summary of the proposals made in the current consultation, this 90 minute forum will provide a platform for group discussions to exchange views on the significant proposals in the Paper, their implications and considerations with the aim to collect practical feedback and views about the proposals, as well as to share best practices and strategies for successful and practical implementation.
