USM regime in Hong Kong
The Securities and Futures Commission (SFC) has set clear timeline for implementing USM in Hong Kong. Speakers from SFC and Union Registrars will give you a briefing on USM and share registration services under the USM regime in Hong Kong, covering the following:
- Introduction of USM, its benefits and implementation timeline
- Infrastructure building, systems development, USI set up and its features/functions under the USM regime
- Amendment of the Articles of Association (or equivalent constitutional documents) to cater for USM
- Approved securities registrars will be granted the approval by the SFC and under its ongoing direct supervision

To get yourself well equipped for the 2024 annual report preparation, this session highlights The Stock Exchange of Hong Kong Limited's (HKEX) recent focus on reviewing annual reports, along with some quick reminders on certain listing rules compliance considerations surrounding the 2024 annual reports.
Areas to be covered include, financial assistance, connected transactions/continuing connected transactions, 2024 new disclosure requirements under Listing Rules and their recommendations based on annual report reviews etc.

Betsy is frequently invited to share her insights and deliver customised training sessions on Hong Kong listing rules with Hong Kong listed issuers.

Roger LC Leung, Managing Director, Union Registrars Limited
Roger joined Union Registrars as its Managing Director since May 2014. Prior to the present position, he has previously taken up various management positions including executive director, company secretary, chief legal and compliance officer of listed companies.
Roger has over 30 years solid and broad management experience in corporate secretarial practice, legal and compliance, corporate finance, corporate administration and business management of listed companies. Roger is a member of the executive committee of the Federation of Share Registrars and also an independent director cum audit committee chairman of a Main Board listed company. He was a part-time tutor for the Master of Corporate Governance from 2016 till 2020 and currently a part-time lecturer of HKU SPACE for the HKCGI CGQP Risk Management module.
