We provide a wide range of specialist advisory services. BDO's worldwide geographic coverage and resources place us in a unique position to deal with both local and cross border assignments. Our professionals have the requisite knowledge, experience, skills and aspiration to provide services of high standard.
At different stages of business growth, a company will be called upon to make the right choices. We provide our client with the options to achieve the results that they desire in their business.
As the business grows and is well along the way in its development, probably the most important and strategic transaction on the horizon would be seeking an initial public offering (IPO) to bring the business to greater heights through access to public funds. Mergers and acquisitions can also be options to accelerate business growth.
We help our client plan, execute and integrate transactions effectively, both domestically and across markets. We assist in evaluating transaction alternatives and structuring transactions to help manage the risks, achieve the best terms, and minimise taxation.
| Financial Due Diligence Review |
The basic objective of a financial due diligence review is to assist a buyer, investor or lender in assessing a target by investigating and inquiring into relevant events and conditions. We provide the combined expertise of accountants, tax professionals and business advisers, going beyond a pure accounting, tax or systems assignment to consider the target from a business perspective.
We can help identify "soft spots" and potential issues that might require re-negotiation of the deal structure or terms of a purchase agreement, placing particular emphasis on areas subject to management judgment or estimates.
Companies today operate under an increasingly complex business environment. An efficient internal control system not only satisfies statutory corporate governance requirements, but also promotes corporate values and mitigate business risks. Our risk advisory services include the following:
- Review of, and recommendations on, the adequacy of design and operating effectiveness of existing internal controls
- Design internal audit work programs to help detect internal control deficiencies
- As an outsourcing agent, implement internal audit system and procedure tailored to clientˇ¦s requirements
In particular, to address our SEC clients' needs in complying with Section 404 of the Sarbanes Oxley Act, we assist in assessing the effectiveness of our client's internal control over financial reporting
We also provide support services to sponsors in assessing the adequacy of the internal control systems and procedures of the listing applicant in connection with the sponsorship of the listing applicant's proposed listing of shares on The Stock Exchange of Hong Kong Limited.
As a trusted advisor, we hope to continuously demonstrate our value by assisting our clients with their risk advisory needs.
We have extensive experience in undertaking reviews for a variety of small and medium-sized businesses.
An independent business review provides the opportunity to examine in depth a business'past performance as well as to evaluate its future financial, strategic and operational plans and potential. Each review is tailored to ensure maximum added value, often acting as the catalyst for positive change.
Once a business starts under-performing, it is crucial to seek expeditious and constructive advice from experienced professionals to avoid problems spiralling out of control. We can provide an independent appraisal of a troubled company's position, identifying what needs to be done to get the business back on its feet.
The business recovery process typically involves devising short-term corrective measures to solve immediate liquidity problems, a longer-term strategy to yield substantial and sustainable competitive advantages or an alternative restructuring plan to implement an orderly change of ownership or management. These can encompass disposal of assets, laying off employees, rescheduling of liabilities, striking creditors compromises or formal schemes of arrangement. These measures often achieve better recoveries for the benefits of creditors than would be possible in liquidation.

Investigation and Forensic Accounting |
We take on a wide variety of fraud and financial crime investigation assignments, which often involve money laundering, misappropriation of company funds or assets, bribery and corruption, kickbacks and secret commissions, and fraudulent financial statements.
In dealing with these situations, it requires special skills, timeliness, speed, sensitivity and discretion. We offer both proactive and reactive solutions to safeguard the companyˇ¦s assets and reputation as well as to prevent future recurrences.

Corporate Insolvency Administration |
When it is impossible for a business to continue, liquidation is a statutory procedure used to wind down the company's affairs in a responsible and orderly manner and to enable the creditors and investors to recover their funds.
We have extensive hands-on experience in corporate insolvency work in a broad range of industry sectors. Our insolvency service directors are registered insolvency practitioners with the Hong Kong Official Receiver's Panels. We are able to act as liquidators for all types of liquidations, whether they are compulsory court appointment or creditors'/members' voluntary winding up. We also assume the role of provisional liquidators or special managers in the interim period prior to the creditors meeting or court hearing. We seek to maximize returns to all stakeholders by completing the liquidation promptly and efficiently.
We have extensive experience in handling all kinds of receivership involving both real estate property and other assets. Where a debenture holder wishes to enforce its security, we provide receivership services to secured creditors under fixed or floating charges. We also act as court appointed receivers and managers. In all cases, maximising asset realizations is our prime objective while, if possible, keeping the business as a going concern.
We provide a wide range of personal insolvency services including advising on bankruptcy procedures and individual voluntary arrangements and devising the best solution for creditors and troubled individual. We accept appointment as outside trustee for personal bankruptcy and nominee for individual voluntary arrangement cases. While seeking to maximise recoveries to the creditors we also aim at assisting the bankrupt or troubled individual to tide over the crisis and to resume normality as soon as possible.
